  • Negotiated a series of agreements for VC-backed satellite company, including technology development, service level and launch service agreements.
  • Represented Future Media Group in its Acquisition of W Magazine from Condé Nast (media coverage)
  • Represented Helios and Matheson Analytics Inc. (Nasdaq: HMNY) and MoviePass Inc. (“MoviePass”), a majority-owned subsidiary of HMNY, in the acquisition of Moviefone, an entertainment service which provides over 6 million monthly unique visitors full access to the entertainment ecosystem, from movie theaters to streaming services. HMNY acquired Moviefone from Oath Inc. (formerly, AOL Inc.), a subsidiary of Verizon Communications.
  • Advise non-EU entities on EU compliance obligations, including Protection Act integration, Cookie Directive obligation, integration of model privacy clauses and the like.
  • Negotiated multinational pharmacy management services agreements.
  • Advised numerous non-US entities on HIPAA compliance.
  • Consulted a leading US-based healthcare organization in the acquisition of a major healthcare facility within the US.
  • Negotiated agreements on behalf of an NGO set up by a multidisciplinary team of Israeli scientists and space aficionados. The NGO aims to land the first Israeli spacecraft on the moon.
  • Counseled on regulatory, labor and privacy issues, and negotiated acquisitions on behalf of a large U.S. treatment facility.
  • Negotiated and advised on a licensing acquisition of a prestigious apparel line, on behalf of a leading media company.
  • Advises on brand development worldwide of a prestigious apparel line.
  • Negotiated complex cyber security transactions, global licensing and SaaS agreements on behalf of major biotech companies.
  • Counseled on EU privacy & data security-related issues as well as regulatory requirements to an innovative adtech company.
  • Handled all standard documentation for an RTC service communications company which specializes in emerging markets.
  • Advised on regulatory issues, and negotiated acquisitions and general transactions on behalf of a company developing a unique transaction processing platform.
  • Negotiated global trademark license agreement on behalf of an overseas manufacturer/distributor with Fortune 100 company in the telecom industry.°
  • Counseled on privacy obligations in the areas of health care, financial services, advertising and credit cards.°
  • Counseled client on one of the first tele-health medical services agreements that was launched on a national scale (addressing both medical device manufacturing/distribution and provision of services).°
