Our energy practice encompasses legal services provided to the electricity, heat, renewable energy, natural gas and petroleum industries. The team advises energy project developers, equity investors, lenders, project operators, fuel suppliers and governmental entities in connection with all phases of energy projects. Our experience includes providing legal advice on privatizations, joint ventures, negotiation of electricity, gas and oil sale and transmission agreements, regulatory compliance, financing and operations.

We have experience in developing, licensing, financing and construction of electric power generation projects and natural gas infrastructure projects. We have assisted with the development, certification and construction of new coal-, natural gas- and solid waste-fueled power plants and natural gas pipeline systems, the acquisition of power generation and transmission assets, the transfer of interests in pipeline, gas processing and local distribution company facilities, and the transfer of interests in natural gas producing properties. We have represented many clients before regulatory offices.

We advise investors from outside of Poland making investments in power and distribution companies in Poland. Our advice in this respect covers all aspects of their investments, including privatization transactions, establishing project companies, obtaining the required licenses and tariff approvals and negotiations with fuel suppliers and with off-takers of electricity and heat. We also advise large energy clients on energy sale contracts. Our clients also include natural gas marketers, whom we advise on regulatory and compliance issues and assist in structuring and documenting transactions.

Our lawyers have served as legal counsel for Poland’s largest energy group, PGE (formerly PSE), in an array of diverse transactions since 1993. In connection with our representation of this group, as well as other companies in the energy sector, we have played a key role in the transformation of Poland’s power sector.

We have been involved in restructuring the oil and petrochemical sector in Poland and across Central Europe, as well as all phases of developing and financing new production facilities. We have advised clients on structuring and developing international power interconnections, international sales and purchases of electricity, purchases of electricity from independent power producers, system power stations and combined heat and power plants, tender procedures for the supply of peak capacity, developing standard agreements for transmission access, corporate and project financing, restructuring of long-term power purchase contracts, restructuring of the power sector, and initial public offerings in the energy sector.

With respect to the latter, we represented the lead managers in the IPO of ENEA S.A., one of Poland’s largest integrated electricity companies—on the Warsaw Stock Exchange (WSE)—in one of the largest offerings in Poland in 2008. Furthermore, a year later, we represented PGE Polska Grupa Energetyczna S.A., Poland’s largest energy group and the second largest in Central Europe, in its IPO on the WSE, which constituted the largest IPO in Europe in 2009 and one of the largest in Poland’s history of capital markets. In 2010, we represented Kulczyk Oil Ventures in its IPO, which was the first IPO of a Canadian company on the WSE. Since 2013 we have represented PGE, ENEA, Tauron and KGHM in connection with the first nuclear power plant project in Poland.

Our clients also include PKN Orlen S.A., Poland’s largest petrochemical group and one of the largest industrial corporations in Central Europe and PGNiG S.A., a major Polish oil and gas company.
